Infosourceful Terms & Conditions

These terms provide the contractual framework for working with Infosourceful. Our Research Policies explain the same process in more practical, everyday language.

These Terms & Conditions govern research services provided by Infosourceful LLC (“Infosourceful,” “we,” “us,” or “our”).

By approving a project scope, submitting payment for a research engagement, or otherwise agreeing in writing to proceed with services, the client (“you” or “your”) agrees to these Terms & Conditions, the applicable project scope, and the Infosourceful Research Policies in effect at the time of the engagement.

If a separate written agreement expressly conflicts with these Terms, the separate written agreement controls for that engagement.

1. Research Services

Infosourceful provides professional research, source verification, information organization, analysis, records research, and related research services.

Each engagement is defined by a written project scope describing the research question, expected deliverable, fee, turnaround, and any material assumptions, limitations, or exclusions.

Infosourceful provides research services, not private investigative services. All engagements remain subject to the Infosourceful Research Scope Boundary and Legal and Ethical Research Policy.

2. Project Acceptance

Submitting a research request does not create a client relationship or require Infosourceful to accept the project.

Infosourceful may decline a request for legal, ethical, safety, conflict-of-interest, capability, scheduling, or fit reasons.

A project is accepted only after Infosourceful and the client have agreed to the applicable scope and payment arrangements.

3. Client Responsibilities

Clients are responsible for providing information reasonably necessary to scope and complete the engagement.

Clients agree to provide accurate information concerning the nature and intended use of the research and may not misrepresent the purpose of an assignment to obtain services that Infosourceful would otherwise decline.

Clients are responsible for ensuring that they are authorized to provide any documents, data, records, licensed materials, or other third-party information supplied to Infosourceful.

Clients should not provide passwords, authentication credentials, Social Security numbers, full payment-card details, medical records, or other highly sensitive information unless Infosourceful has specifically agreed that the information is necessary for the engagement.

4. Scope of Work

The agreed project scope controls the engagement.

Reasonable clarification of the original research question is included within the agreed scope. Requests that materially expand the subject matter, research question, source requirements, verification requirements, deliverable, or timing may be treated as additional work.

Infosourceful will discuss material scope changes with the client before performing additional work or incurring material additional charges.

Research may also reveal that an assignment is broader or more complex than could reasonably have been understood during intake. In that case, Infosourceful may pause the affected work and propose a revised scope, fee, or delivery schedule.

5. Fees and Payment

Unless otherwise stated in writing, payment is due in full before research begins.

Larger or longer engagements may use deposits, milestones, or other payment arrangements when agreed in writing.

Project quotes are valid for 14 calendar days unless otherwise stated.

Payments may be processed through third-party payment providers such as Stripe and are also subject to the applicable provider’s terms.

6. Taxes

Clients are responsible for applicable taxes associated with their purchase of services, except taxes imposed directly on Infosourceful’s income.

Where required, applicable sales, use, or similar taxes may be calculated and collected as part of the invoice or payment process.

7. Cancellation and Refunds

A client may cancel a project before research begins. Amounts paid will be refunded, less non-refundable third-party expenses or project-specific costs already incurred.

After research begins, payment is non-refundable for work already performed and costs already incurred or committed.

If a client cancels an active project, Infosourceful may refund any genuinely unearned portion of the project fee where appropriate.

Infosourceful may discontinue an engagement if the project becomes unlawful, falls outside the agreed research scope, creates an unmanageable conflict, requires prohibited services, cannot reasonably be completed as agreed, or if the client materially breaches these Terms or the Research Policies.

If Infosourceful ends an engagement for reasons unrelated to client misconduct or breach, any unearned portion of the project fee will be refunded, less non-recoverable third-party expenses.

8. Third-Party Costs

Research may require public records, court records, database access, document retrieval, certifications, archive services, travel, or other third-party expenses.

Known and reasonably anticipated costs will be included in or identified with the project quote whenever practical.

Infosourceful will not knowingly incur a material unplanned external expense on the client’s behalf without prior approval.

Approved third-party expenses that have already been incurred or committed and cannot be recovered are non-refundable.

9. Turnaround and Delays

Expected delivery dates or turnaround windows are based on the agreed project scope and the information available when the engagement begins.

Unless otherwise stated, turnaround begins after payment has been received and Infosourceful has the information or clarification reasonably necessary to begin work.

Delivery may be affected by project complexity, source availability, client delays, records access, government or court processing times, database availability, or other circumstances outside Infosourceful’s reasonable control.

If a meaningful delay becomes apparent, Infosourceful will communicate a revised delivery expectation.

Rush or expedited work is available only when specifically agreed and may affect the project fee.

10. Research Standards and Source Limitations

Infosourceful uses a verification-focused research process and seeks to identify reliable sources, compare information where appropriate, and distinguish supported findings from uncertainty or conflicting evidence.

Research may rely on information created or maintained by third parties, including government agencies, courts, databases, websites, archives, publications, businesses, and client-provided materials.

Such information may be incomplete, inaccurate, outdated, improperly indexed, unavailable, or conflicting.

Infosourceful cannot guarantee the accuracy or completeness of information controlled by third parties.

A finding that information was not located means only that it was not found through the sources reasonably available within the agreed scope. It does not establish that the information does not exist.

11. No Guaranteed Result

Infosourceful does not guarantee that research will:

  • produce a particular answer;
  • uncover a desired fact;
  • support the client’s preferred conclusion;
  • identify every potentially relevant source;
  • remain current indefinitely; or
  • lead to a particular business, legal, financial, editorial, personal, or other outcome.

Research reflects the information reasonably available at the time the work is performed.

12. Professional Advice

Infosourceful may research legal, financial, medical, tax, investment, regulatory, technical, or other specialized subjects when those assignments fall within its lawful research scope.

Infosourceful does not provide legal, financial, medical, tax, investment, or other regulated professional advice.

Clients remain responsible for obtaining advice from appropriately licensed or qualified professionals when professional judgment is required.

13. Client Decisions and Use of Research

Clients remain responsible for evaluating research findings in the context of their own circumstances and for decisions, publications, transactions, strategies, or other actions taken based on those findings.

Clients agree to use Infosourceful services and deliverables only for lawful purposes.

Infosourceful may decline or discontinue work when the intended use appears unlawful, deceptive, abusive, invasive, harmful, or inconsistent with the Infosourceful Research Policies.

14. Errors and Corrections

Clients should notify Infosourceful promptly if they identify a suspected factual error, material omission, incorrect citation, calculation error, or similar issue in a completed deliverable.

Infosourceful will review the reported issue against the agreed scope and relevant research materials.

If a material error or omission is attributable to Infosourceful’s work, Infosourceful will correct the affected portion without an additional research fee.

Corrections do not include new research questions, expanded analysis, newly requested sources, or information that became available only after the research was completed.

15. Post-Delivery Clarification

Reasonable clarification questions relating to the completed deliverable are included for 7 calendar days after delivery.

Requests requiring new research, additional source review, expanded analysis, or a new deliverable may be treated as additional work.

Requests received after the clarification period may be treated as a new engagement.

16. Confidentiality

Infosourceful treats nonpublic client information and project materials as confidential and uses them only as reasonably necessary to evaluate, scope, perform, administer, and deliver research services.

Infosourceful does not sell confidential client information or use confidential project materials for unrelated commercial purposes.

Confidential information may be disclosed when required by applicable law, court order, subpoena, legal process, or other lawful authority.

Additional confidentiality practices are described in the Infosourceful Confidentiality and Client Information Policy.

17. Service Providers and Research Partners

Infosourceful may use reputable third-party business systems, service providers, subcontractors, local researchers, records-retrieval providers, or other research partners when reasonably necessary to perform or administer an engagement.

Access to confidential information will be limited to what is reasonably necessary for the relevant work.

When an outside researcher or partner will have meaningful access to confidential client materials or perform a substantial portion of the engagement, Infosourceful will inform the client when reasonably practical.

18. Nondisclosure Agreements

Infosourceful is willing to consider reasonable mutual or client-provided nondisclosure agreements.

NDA terms must permit Infosourceful to comply with law, maintain required or reasonably necessary business records, use necessary service providers, protect its pre-existing methods and intellectual property, and defend its legal rights.

An NDA does not expand the services Infosourceful is legally or ethically permitted to provide.

19. Ownership of Deliverables

Once the engagement has been paid in full, the client owns the original research deliverable created specifically for that assignment, subject to applicable third-party rights and any project-specific terms agreed in writing.

Infosourceful retains ownership of its pre-existing and independently developed research methods, workflows, templates, systems, tools, processes, documentation, and general know-how.

Providing a client deliverable does not transfer ownership of those underlying methods or tools.

20. Third-Party Intellectual Property

Deliverables may cite, summarize, quote, reference, or include materials belonging to third parties.

Ownership of an Infosourceful deliverable does not transfer ownership of third-party materials or override applicable copyright, licensing, database, access, or usage restrictions.

Clients are responsible for complying with applicable restrictions governing their later use or publication of third-party materials.

21. Misrepresentation and Resale

Clients may use, quote, adapt, incorporate, or distribute Infosourceful work product for lawful purposes consistent with the engagement and applicable third-party rights.

Clients may not materially misrepresent the source of the research, the evidence supporting a finding, the meaning of the findings, or Infosourceful’s conclusions.

Unless specifically agreed in writing, a deliverable may not be resold or commercially redistributed as a standalone research product created for resale.

22. Portfolio and Publicity

Infosourceful will not publicly disclose confidential client work, project details, or client-provided materials without authorization.

Infosourceful will not use a confidential project as a portfolio example, case study, testimonial, or promotional example without the client’s permission.

23. File Retention and Preservation

Unless otherwise agreed, project working materials may be retained for up to 90 calendar days after final delivery and may then be deleted when no longer reasonably necessary.

Certain business records may be retained longer for legal, accounting, tax, insurance, contractual, or administrative purposes.

The standard retention period does not apply when project materials are subject to litigation, a preservation hold, subpoena, discovery requirement, court order, or other legal preservation obligation.

When preservation is required, Infosourceful may suspend routine deletion until the applicable obligation ends.

24. Conflicts of Interest

Infosourceful seeks to provide independent and objective research.

Known material conflicts that could reasonably affect the engagement will be disclosed when appropriate.

Infosourceful will not knowingly accept materially adverse assignments for opposing parties in the same dispute, transaction, litigation, or closely related matter without informed written consent from affected clients.

Infosourceful will not use one client’s confidential information for the benefit of another client.

25. Independent Contractor

Infosourceful provides services as an independent contractor.

Nothing in an engagement creates an employment, partnership, joint venture, agency, fiduciary, or attorney-client relationship between Infosourceful and the client unless expressly established by a separate written agreement.

26. Limitation of Liability

To the fullest extent permitted by applicable law, Infosourceful will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or related to an engagement, including lost profits, lost opportunities, reputational harm, or losses resulting from decisions made in reliance on research findings.

To the fullest extent permitted by applicable law, Infosourceful’s aggregate liability arising from a particular engagement will not exceed the fees actually paid to Infosourceful for that engagement.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

27. Client Misuse and Indemnification

The client is responsible for lawful use of research materials and deliverables.

To the extent permitted by applicable law, the client agrees to indemnify and hold Infosourceful harmless from third-party claims, damages, liabilities, and reasonable costs arising from the client’s unlawful use, material misrepresentation, unauthorized publication, or misuse of an Infosourceful deliverable, except to the extent caused by Infosourceful’s own wrongful conduct.

28. Force Majeure

Infosourceful is not responsible for delays or failure to perform caused by circumstances beyond its reasonable control, including widespread service outages, government actions, natural disasters, severe weather, illness or emergency, labor disruptions, infrastructure failures, or loss of access to necessary third-party services or records.

Infosourceful will communicate material impacts and work with the client on reasonable next steps where practical.

29. Governing Law

These Terms and any engagement with Infosourceful are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute that cannot be resolved informally will be brought in a court of competent jurisdiction in Minnesota, unless the parties agree otherwise in writing or applicable law requires a different forum.

30. Severability

If any provision of these Terms is found unenforceable or invalid, the remaining provisions will remain in effect to the fullest extent permitted by law.

31. Waiver

Failure by Infosourceful to enforce a provision of these Terms on one occasion does not waive the right to enforce that provision or another provision later.

32. Entire Agreement

The applicable project scope, these Terms & Conditions, the Infosourceful Research Policies, and any separately signed agreement relating to the engagement constitute the agreement between the parties concerning the services.

If those documents conflict, the following order generally applies unless otherwise stated in writing:

  1. a separately signed project-specific agreement;
  2. the written project scope;
  3. these Terms & Conditions;
  4. the Infosourceful Research Policies.

33. Changes to These Terms

Infosourceful may update these Terms from time to time.

Changes apply prospectively and will not materially alter an already accepted engagement unless the client agrees or the change is required by law.

The version applicable to an engagement is generally the version in effect when the project is approved.
